Terms of Service

1. Acceptance of Terms
By accessing or using onlineenablers.com or the Online Enablers client portal, you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, please do not use our services. These terms constitute a binding agreement between you and Online Enablers Inc under the laws of the State of California.
2. Services
Online Enablers Inc provides marketplace management services for Amazon, Walmart, Shopify, and TikTok Shop. The specific scope of services, deliverables, and performance expectations are outlined in your signed Marketplace Management Services Agreement, which is incorporated by reference into these terms.
3. Account Responsibilities
- You are responsible for maintaining the security and confidentiality of your portal login credentials.
- You must provide accurate, current, and complete information during registration and onboarding.
- Only one account is permitted per business entity. Duplicate accounts may be merged or terminated.
- You agree to notify us immediately if you suspect unauthorized access to your account.
4. Payment Terms
- Subscription fees are billed monthly via PayPal according to your selected service plan.
- All fees are non-refundable once the billing period has commenced.
- Non-payment or failed payment may result in account suspension after written notice.
- Price changes will be communicated at least 30 days in advance.
5. Additional Services
Services outside your subscription plan are billed at the following rates:
- Technical Consulting: $125.00 per hour
- Administrative Tasks: $35.00 per hour
- SKU and Product Changes: Require a minimum of 2 weeks advance notice to ensure proper implementation.
6. Intellectual Property
- Your brand assets, product images, trademarks, and proprietary business information remain your exclusive property at all times.
- Our platform, software tools, AI systems, workflow templates, and proprietary processes are the exclusive intellectual property of Online Enablers Inc and may not be copied, reproduced, or reverse-engineered.
7. Limitation of Liability
- Online Enablers Inc is not liable for changes to marketplace policies, algorithm updates, or platform decisions made by Amazon, Walmart, Shopify, or TikTok.
- Our total liability to you for any claim arising from these terms or our services is limited to the fees you paid in the prior 30-day period.
- We are not responsible for lost sales, organic ranking changes, marketplace suspensions, or account restrictions caused by third-party platform policy enforcement.
- In no event shall we be liable for indirect, incidental, consequential, or punitive damages.
8. Confidentiality
- We treat your business data, brand strategy, account credentials, and performance metrics as strictly confidential.
- We will not contact your customers directly or share your business data with competitors or unauthorized third parties.
- This confidentiality obligation survives termination of your account.
9. Termination
- Either party may terminate the service relationship with 30 days written notice.
- We reserve the right to immediately suspend or terminate accounts for non-payment, material breach of these terms, or conduct that violates marketplace platform policies.
- Upon termination, your access to the portal will be revoked and your data will be retained per our Privacy Policy retention schedule.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Los Angeles County, California. You consent to the personal jurisdiction of such courts.
11. Changes to Terms
We may update these Terms of Service from time to time. We will notify registered users of material changes at least 30 days before the effective date, by email or portal notice. Continued use of our services after the effective date constitutes acceptance of the revised terms.
